1. Service Description
Welcome to nontronite.xyz, operated by Nontronite. These Terms of Service ("Terms" or "Agreement") constitute a legally binding agreement between you ("User," "you," or "your") and Nontronite governing your access to and use of the nontronite.xyz website, located at nontronite.xyz, and our cloud-based software-as-a-service (SaaS) platform (collectively, the "Service"). By accessing, registering for, or using the Service in any manner, you acknowledge that you have read, understood, and agree to be bound by these Terms in their entirety. If you do not agree with any provision of these Terms, you must immediately cease all use of the Service.
The Service provides users with a comprehensive suite of cloud-based software tools designed to facilitate digital workflows, data management, and enterprise productivity. Our platform is built to serve businesses and individuals seeking robust, scalable, and secure software solutions. The Service is provided on a subscription basis, granting you a limited, non-exclusive, non-transferable, revocable license to access and use the software solely for your internal business or personal operations, subject to the conditions set forth herein. We continuously strive to enhance the Service to meet evolving industry standards and technological advancements.
Your use of the Service is also governed by our Privacy Policy and Cookie Policy, which are incorporated herein by reference. We comply with applicable federal and state regulations, including the Federal Trade Commission Act § 5, 15 U.S.C. § 45 (FTC Act — unfair/deceptive practices), ensuring that our Service operates transparently and without deceptive trade practices. To the extent any software is deemed a "good," the parties acknowledge the applicability of the Uniform Commercial Code (UCC) Article 2 as adopted by the states, and where applicable in Maryland, Virginia, or Louisiana, the Uniform Computer Information Transactions Act (UCITA). Furthermore, our Service is not intended for use by financial institutions subject to the Gramm-Leach-Bliley Act, 15 U.S.C. §§ 6801-6809 (GLBA), nor is it designed to handle protected health information under the Health Insurance Portability and Accountability Act (HIPAA) where applicable, unless a separate specialized agreement is executed.
2. User Accounts
To access certain features of the Service, you must register for an account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete. You are solely responsible for maintaining the confidentiality and security of your account credentials, including your username and password, and for all activities that occur under your account. You agree to immediately notify Nontronite of any unauthorized use of your account or any other security breach. We will not be liable for any loss or damage arising from your failure to comply with these security obligations.
You must be at least thirteen (13) years of age to create an account and use the Service. This age requirement complies with the Children's Online Privacy Protection Act, 15 U.S.C. §§ 6501-6506 (COPPA), and the COPPA Rule as amended effective June 2025 (16 C.F.R. Part 312, 2025 amendments). If we learn that we have collected personal information from a child under the age of 13 without verifiable parental consent, we will take steps to delete such information promptly. By creating an account, you represent and warrant that you meet this age requirement and possess the legal capacity to enter into this Agreement.
Nontronite reserves the right to suspend or terminate your account if any information provided during registration is found to be inaccurate, false, or misleading. We may also refuse service, terminate accounts, or remove or edit content in our sole discretion. You are responsible for all content posted or transmitted via your account and must ensure that your use of the Service complies with all applicable local, state, national, and international laws. If you are using the Service on behalf of a business entity, you represent and warrant that you have the authority to bind that entity to these Terms, in which case "you" and "your" will refer to both you and that entity.
3. Acceptable Use Policy
You agree to use the Service only for lawful purposes and in accordance with these Terms. Your use of the Service must comply with all applicable federal, state, and local laws and regulations, including but not limited to the Electronic Communications Privacy Act, 18 U.S.C. § 2511, and state wiretapping and electronic surveillance laws, such as the California Invasion of Privacy Act § 631. You may not use the Service in any manner that could damage, disable, overburden, or impair the Service or interfere with any other party's use and enjoyment of the Service.
Furthermore, your use of the Service must respect the privacy rights of others. You must comply with all applicable US state comprehensive privacy laws, including the California Consumer Privacy Act as amended by the CPRA (Cal. Civ. Code § 1798.100 et seq.), the Virginia Consumer Data Protection Act (Va. Code § 59.1-575 et seq.), the Colorado Privacy Act (C.R.S. § 6-1-1300 et seq.), the Connecticut Data Privacy Act (Conn. Gen. Stat. § 42-515 et seq.), the Utah Consumer Privacy Act (Utah Code § 13-11-101 et seq.), and other State comprehensive privacy laws (TX, OR, MT, FL, TN, etc.). If you process personal data through the Service, you are solely responsible for ensuring you have obtained all necessary rights and consents, including honoring Global Privacy Control signals and "Do Not Sell or Share My Personal Information" requests as required under Cal. Civ. Code § 1798.120 and § 1798.135.
You agree not to use the Service to violate any intellectual property rights, confidentiality obligations, or contractual commitments. You are prohibited from using the Service to send unsolicited commercial communications in violation of applicable anti-spam laws. Nontronite reserves the right to investigate suspected violations of this Acceptable Use Policy and to take appropriate action, including reporting violations to law enforcement authorities. We cooperate with government and law enforcement agencies to enforce applicable laws and protect our systems and users.
4. Prohibited Activities
In addition to the restrictions outlined in the Acceptable Use Policy, you are strictly prohibited from engaging in the following activities while accessing or using the Service. You may not attempt to gain unauthorized access to the Service, other accounts, computer systems, or networks connected to the Service through hacking, password mining, or any other means. You may not use the Service to distribute viruses, worms, Trojan horses, or any other malicious or destructive code. Reverse engineering, decompiling, or disassembling any part of the Service, except to the extent expressly permitted by applicable law, is strictly forbidden.
You may not use the Service to engage in any fraudulent, abusive, or unlawful activities, including but not limited to identity theft, phishing, or the distribution of illegal or controlled substances. You are prohibited from using the Service to harass, abuse, threaten, or impersonate another person. Additionally, you may not use automated systems, such as bots, spiders, or scrapers, to access the Service or extract data without the express written consent of Nontronite. Any attempt to interfere with the proper functioning of the Service, including overloading a server, flooding, or mail bombing, is strictly prohibited.
Violating any of these prohibited activities may result in immediate suspension or termination of your account without prior notice. Nontronite also reserves the right to take any legal action necessary to protect our rights and the integrity of the Service. We may disclose your information to law enforcement agencies if we believe, in good faith, that such disclosure is necessary to comply with legal process, enforce these Terms, or protect the rights, property, or safety of Nontronite, our users, or others.
5. Content Ownership
All right, title, and interest in and to the Service, including but not limited to the software, user interface, graphics, text, and underlying code, are and will remain the exclusive property of Nontronite and its licensors. The Service is protected by copyright, trademark, and other intellectual property laws of the United States and international jurisdictions. Nothing in these Terms grants you any right, title, or interest in the Service except for the limited license expressly granted herein. You may not copy, modify, distribute, or create derivative works based on the Service without our prior written consent.
Nontronite retains all rights to its trademarks, service marks, and logos. You agree not to use these marks in any manner that could cause confusion or imply sponsorship or endorsement by Nontronite without our express written permission. Any feedback, suggestions, or ideas you provide regarding the Service may be used by Nontronite without any obligation to compensate you. We respect the intellectual property rights of others and expect our users to do the same.
If you believe that any content available on the Service infringes your copyright, you may submit a notification of claimed infringement in accordance with the Digital Millennium Copyright Act (DMCA). Your notification must include the information required by the DMCA and be sent to our designated copyright agent at [email protected]. We will investigate and take appropriate action in response to valid notifications, including removing the infringing material and terminating the accounts of repeat infringers.
6. User-Generated Content
The Service may allow you to upload, post, or transmit content, including data, text, images, and other materials ("User-Generated Content" or "UGC"). You retain all ownership rights in your UGC. By submitting UGC to the Service, you grant Nontronite a worldwide, non-exclusive, royalty-free, fully paid-up, transferable, and sub-licensable license to use, reproduce, distribute, modify, and display such UGC solely for the purpose of operating, providing, and improving the Service. You represent and warrant that you have all necessary rights to grant this license and that your UGC does not violate the rights of any third party.
You are solely responsible for your UGC and the consequences of posting or publishing it. Nontronite does not endorse, support, or guarantee the accuracy of any UGC. We do not assume any liability for UGC, and we are not responsible for monitoring it. However, we reserve the right to remove or disable access to any UGC that we believe, in our sole discretion, violates these Terms or is otherwise harmful to the Service or other users. We also reserve the right to cooperate with law enforcement authorities if we believe that UGC violates applicable law.
You agree to indemnify and hold Nontronite harmless from any claims, damages, liabilities, and expenses arising out of your UGC or your breach of these Terms. This includes claims of intellectual property infringement, defamation, and privacy violations. Nontronite provides the Service as a platform for users to manage their content, and we are not a publisher of your UGC. We disclaim all liability in connection with the storage, transmission, and display of your UGC.
7. Payment Terms
Access to certain features of the Service requires a paid subscription. By subscribing to the Service, you agree to pay all applicable fees as described on the nontronite.xyz website. Fees are billed in advance on a recurring monthly or annual basis, depending on the subscription plan you select. All fees are non-refundable except as expressly provided in these Terms or required by applicable law. We reserve the right to change our fees upon reasonable notice, and any changes will take effect at the beginning of your next billing cycle following the notice.
You authorize Nontronite to automatically charge your designated payment method for all recurring subscription fees. If your payment method fails, we may attempt to charge the method again or contact you to update your payment information. In compliance with the Restore Online Shoppers' Confidence Act, 15 U.S.C. §§ 8401-8405 (ROSCA), we clearly disclose all material terms of our subscription offerings before you are charged. You have the right to cancel your subscription at any time through your account settings or by contacting [email protected]. Cancellation will prevent future billing, but you will not receive a refund for the current billing period.
All payments are processed by third-party payment processors. Nontronite does not store your full credit card information. We are not responsible for the actions of payment processors or any errors in billing. You are responsible for any taxes associated with your use of the Service, except for taxes based on Nontronite's net income. If you dispute any charge, you must contact us within sixty (60) days of the charge to resolve the issue.
8. Service Modifications
Nontronite is constantly innovating to provide the best possible Service. We reserve the right to modify, suspend, or discontinue the Service, or any part thereof, at any time and without notice. We may also impose limits on certain features or restrict access to parts or all of the Service without notice or liability. We will not be liable to you or any third party for any modification, suspension, or discontinuance of the Service. We strive to provide advance notice of material changes when feasible, but we cannot guarantee it.
If we make material changes to the Service that adversely affect your ability to use it in accordance with these Terms, we will use reasonable efforts to notify you. However, you acknowledge that the Service is provided on an "as is" and "as available" basis, and we do not guarantee uninterrupted access. We may perform maintenance, updates, or system enhancements that temporarily disrupt the Service. We are not responsible for any data loss or corruption resulting from such modifications.
These Terms may also be modified from time to time. We will post the updated Terms on the nontronite.xyz website and update the "Last Updated" date at the top of this page. Your continued use of the Service after any changes to these Terms constitutes your acceptance of the new Terms. If you do not agree to the updated Terms, you must stop using the Service. 9. Limitation of Liability
To the maximum extent permitted by applicable law, in no event shall Nontronite, its affiliates, or their respective directors, officers, employees, or agents be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to lost profits, lost data, business interruption, or reputational harm, arising out of or in connection with your use of the Service. This limitation of liability applies regardless of the theory of liability, whether based on contract, tort, negligence, strict liability, or otherwise, and even if Nontronite has been advised of the possibility of such damages.
In no event shall Nontronite's total liability for all claims arising out of or related to these Terms or the Service exceed the amount you have paid to Nontronite in the twelve (12) months preceding the event giving rise to the claim, or one hundred dollars ($100.00), whichever is greater. Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you. However, the parties agree that the limitations and exclusions in this section will apply to the maximum extent permitted by applicable law.
You acknowledge that the limitations of liability set forth in this section are an essential basis of the bargain between the parties and reflect a fair allocation of risk. The Service would not be provided at the stated fees without these limitations. Nontronite relies on these limitations in providing the Service to you. You agree that these limitations will survive any termination or expiration of these Terms or the Service.
10. Termination
You may terminate your account and stop using the Service at any time by following the instructions in your account settings or by contacting us at [email protected]. Upon termination, your license to use the Service will immediately cease. You are responsible for exporting any data you wish to retain before terminating your account, as Nontronite may delete your data shortly after termination. We are not responsible for any data loss resulting from account termination.
Nontronite may suspend or terminate your account and access to the Service at any time, without notice, for any reason, including if we believe you have violated these Terms or applicable law. We may also terminate or suspend accounts that are inactive for an extended period. Upon termination, all provisions of these Terms which by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.
Termination of your account does not relieve you of any obligation to pay fees accrued prior to termination. If we terminate your account without cause, we will provide a pro-rata refund of any prepaid fees for the remaining portion of your billing cycle. If we terminate your account for cause, no refunds will be provided. The SAFE WEB Act permanently reauthorized 2015 (21st Century DOJ/Apps Act-era codification, 15 U.S.C. § 8401 note) supports our cross-border enforcement efforts to protect consumers and combat fraudulent activities, and we reserve all rights thereunder.
